These Terms of Service ("Terms") govern your access to and use of the website and services provided by Byzantine Technologies LLC ("Byzantine Technologies," "we," "us," or "our"). By accessing or using our website, you agree to be bound by these Terms. If you do not agree, please do not use the site.

1. Use of the Website

You may use our website for lawful purposes only. You agree not to misuse the site, attempt to gain unauthorized access, interfere with its operation, or use it to transmit harmful or unlawful content.

2. Informational Content

Content on this website — including blog articles, the HIPAA self-assessment, and other resources — is provided for general informational and educational purposes. It does not constitute legal, compliance, medical, or professional advice, and it does not create a client relationship. The HIPAA self-assessment is an educational tool and is not a substitute for a formal Security Risk Analysis or qualified professional guidance.

3. Services & Agreements

Our professional services are governed by separate written agreements, statements of work, and, where applicable, Business Associate Agreements (BAAs). These Terms govern your use of the website and online services; they are not the operative document for the services we deliver under contract. For how these Terms relate to a Master Services Agreement, BAA, or other signed agreement — including which document controls in the event of a conflict — see Section 10 (Relationship to MSA, BAA, and Website Terms).

4. Payments

Where you purchase services, payments are processed through Stripe. By submitting payment, you agree to Stripe's applicable terms. Fees, billing cycles, and cancellation terms are set out in your service agreement or order.

5. Intellectual Property

The website and its content — including text, graphics, logos, the Byzantine Technologies name and marks, and software — are owned by or licensed to Byzantine Technologies and are protected by intellectual property laws. You may not copy, reproduce, or distribute our content without our prior written permission, except for reasonable personal or internal reference.

6. Third-Party Links

Our website may link to third-party sites or services we do not control. We are not responsible for the content, policies, or practices of those third parties.

7. Disclaimers

The website is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, Byzantine Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the website. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Byzantine Technologies LLC, its owners, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and court costs, arising out of or related to:

  • your access to, use of, or misuse of this website, client portal, documentation, forms, support resources, or other online services provided by Byzantine Technologies;
  • your violation of these Terms, any applicable policies, or any applicable federal, state, or local law or regulation;
  • any information, files, credentials, protected health information, personally identifiable information, payment information, or other data that you submit, transmit, upload, disclose, or otherwise make available through the website or related services;
  • your failure to obtain, maintain, or provide any authorization, consent, permission, license, or legal basis required for your submission or disclosure of information to Byzantine Technologies;
  • your negligent, reckless, fraudulent, unlawful, or willful acts or omissions;
  • your infringement, misappropriation, or violation of any intellectual property, privacy, confidentiality, publicity, contractual, or other rights of any third party;
  • your use of the website or related services in a manner that introduces malware, ransomware, malicious code, unauthorized access attempts, spam, phishing content, credential-harvesting activity, or other harmful or unlawful activity;
  • any claim by a patient, employee, contractor, vendor, governmental authority, regulator, or other third party arising from information, instructions, requests, materials, or access that you provide to Byzantine Technologies; or
  • any alleged or actual breach of confidentiality, privacy, cybersecurity, healthcare regulatory, or data protection obligations caused by your acts, omissions, systems, users, vendors, or failure to follow reasonable security practices.

For healthcare clients, this indemnification includes, without limitation, claims, investigations, penalties, remediation costs, breach-notification costs, and third-party demands arising from your improper disclosure of protected health information, your failure to comply with HIPAA, HITECH, applicable state privacy laws, payer requirements, professional obligations, or your own internal policies, except to the extent such claim is finally determined by a court of competent jurisdiction to have resulted from Byzantine Technologies’ gross negligence, willful misconduct, or breach of a separate written Business Associate Agreement.

Byzantine Technologies reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification under this section. You agree to cooperate fully with Byzantine Technologies in the defense of any such claim. You may not settle any claim in a manner that imposes any liability, admission of wrongdoing, operational restriction, payment obligation, or ongoing duty on Byzantine Technologies without Byzantine Technologies’ prior written consent.

Where you are also a party to a Master Services Agreement, Business Associate Agreement, Statement of Work, or similar written agreement with Byzantine Technologies, your indemnification obligations under these Terms are intended to supplement, and not replace, any indemnification, defense, limitation of liability, confidentiality, data security, or regulatory compliance obligations contained in those agreements. In the event of a direct conflict, the separately executed written agreement shall control to the extent of the conflict; however, these Terms shall continue to govern your use of the website, client portal, online forms, online submissions, support resources, documentation, and other website-based services.

Your indemnification obligations survive termination of these Terms, your use of the website, and any suspension or closure of your account.

10. Relationship to MSA, BAA, and Website Terms

Byzantine Technologies LLC may provide services under one or more separate written agreements, including but not limited to a Master Services Agreement, Statement of Work, Managed Services Agreement, Service Level Agreement, Business Associate Agreement, or similar written agreement.

These Terms apply to your access to and use of Byzantine Technologies’ website, online materials, client portal, forms, support resources, documentation, and other online services, except where a separate written agreement expressly provides otherwise.

If you are a client of Byzantine Technologies and are subject to a separate written agreement, that agreement will control with respect to the specific services, obligations, fees, limitations of liability, service commitments, security responsibilities, confidentiality obligations, and healthcare regulatory responsibilities addressed in that agreement.

If you are a covered entity, business associate, subcontractor, healthcare provider, dental practice, medical practice, or other healthcare-related organization, any access to, use, disclosure, transmission, storage, or handling of protected health information shall be governed by the applicable Business Associate Agreement, if one exists. These Terms do not replace, amend, or supersede any Business Associate Agreement unless expressly stated in a written amendment signed by both parties.

In the event of a conflict between these Terms and a separately executed Master Services Agreement, Statement of Work, Managed Services Agreement, Service Level Agreement, Business Associate Agreement, or other written agreement between you and Byzantine Technologies, the separately executed written agreement shall control to the extent of the conflict.

However, these Terms continue to apply to website use, portal access, online submissions, account activity, user conduct, intellectual property, acceptable use, disclaimers, and other online interactions not expressly governed by a separate written agreement.

11. Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Alabama.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the website after changes take effect constitutes acceptance of the revised Terms.
